1. Acceptance

By using the Site, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Site.

2. About StrataForge

This website is operated by Nebulous LLC, doing business as StrataForge ("StrataForge," "we," "us," or "our"). StrataForge is a decision intelligence platform. These Terms apply to use of this website; access to the platform itself is governed by separate written agreements, as described in Section 4.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Site.

4. Platform Access and Client Agreements

The StrataForge platform is provided to clients under separate written agreements covering scope, access, data handling, payment, confidentiality, intellectual property, service levels, and engagement-specific warranties and liability. Nothing on this website creates a client relationship or grants access to the platform.

If a separate written agreement conflicts with these Terms, that agreement controls with respect to platform use.

5. Intellectual Property

All content, features, and functionality of this website, including text, graphics, logos, images, and software, are owned by Nebulous LLC or its licensors and are protected by copyright, trademark, and other laws. The StrataForge name and marks may not be used without our prior written permission.

The platform, including its software, models, workflows, and documentation, is and remains the property of Nebulous LLC. Clients retain ownership of the data they provide. Intellectual property arrangements for client work and deliverables are addressed in the applicable written agreement.

6. Acceptable Use

You agree not to:

• Violate applicable laws or regulations
• Infringe the rights of others
• Interfere with or disrupt the Site
• Attempt to gain unauthorized access to our systems, including the platform
• Probe, scan, or test the vulnerability of any StrataForge system
• Use automated systems to access or scrape the Site without permission
• Copy, reverse engineer, or attempt to derive the source code of the platform
• Engage in fraudulent or deceptive practices

7. Confidentiality

Each party agrees to maintain the confidentiality of proprietary information disclosed by the other and to use it only for the purposes of the business relationship. Specific terms are addressed in separate agreements.

8. Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN A SEPARATE WRITTEN AGREEMENT, THIS WEBSITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEBULOUS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE.

Liability for any platform engagement is addressed in the applicable written agreement.

Some jurisdictions do not allow the exclusion of implied warranties or the limitation of certain damages. To that extent, portions of Sections 8 and 9 may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless Nebulous LLC and its representatives from any claims, damages, or expenses arising from your use of the Site or violation of these Terms.

11. Termination

We may suspend or terminate access to the Site at any time, with or without notice. Termination of platform access for clients is governed by the applicable written agreement. Provisions that by their nature should survive termination shall survive.

12. Modifications

We may modify these Terms at any time. Material changes will be posted on this page with an updated "Last updated" date. Continued use after changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of Missouri, without regard to its conflict of law provisions.

14. Dispute Resolution

Disputes shall first be addressed through good faith negotiation. If negotiation fails, disputes arising from use of this website shall be resolved in the state or federal courts sitting in Greene County, Missouri, and you consent to their jurisdiction. Disputes arising under a separate written agreement are resolved as that agreement specifies.

15. Severability

If any provision of these Terms is found unenforceable, it will be limited or eliminated to the minimum extent necessary; the remaining Terms will remain in effect.

16. Entire Agreement

These Terms, together with the Privacy Policy and any separate written agreements, constitute the entire agreement between you and Nebulous LLC regarding use of this website.

17. Force Majeure

Nebulous LLC is not liable for delays or failures resulting from circumstances beyond reasonable control.

18. Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
